Acceptance and eligibility
By accessing Kiln, creating or using an account, submitting information, checking a box indicating acceptance, requesting or entering an authentication code, confirming research access, or placing an order, you agree to these Terms and the policies incorporated into them. You must be at least 18 years old, legally able to enter into a binding agreement, and permitted to purchase and receive the applicable products where you are located. If you act for an organization, you represent that you are authorized to act for and bind that organization to the extent applicable.
Kiln may refuse, restrict, suspend, verify, or cancel access or orders where reasonably necessary for legal or regulatory compliance, fraud prevention, payment review, product restrictions, account security, inventory, fulfillment, or enforcement of these Terms.
Accounts, authentication, and security
Kiln may use passwordless email verification or other authentication methods. You are responsible for maintaining control of the email account and devices used to access Kiln and for promptly notifying Kiln if you reasonably believe your account or authentication channel has been compromised. You may not share, transfer, sell, or permit unauthorized use of an account used to satisfy restricted-product purchase requirements.
Kiln may require renewed authentication, renewed research confirmation, additional information, or account review when reasonably necessary for security, compliance, fraud prevention, product restrictions, or a material change to these Terms.
Researcher self-attestation
Access to products identified as Research Use Only, RUO, Laboratory Research Use Only, or similar may require a verified Kiln account and a purchaser self-attestation. When you submit a research field, organization, intended purpose, or similar information, you represent that the information is truthful, current, and complete and that your stated purpose is a genuine lawful research purpose.
Kiln's recording or acceptance of a self-attestation is a contractual purchase control only. It is not a professional credential, license, certification, endorsement, medical authorization, regulatory approval, or independent determination that you or your proposed activity satisfy every legal requirement. You remain responsible for determining and complying with the laws, rules, institutional requirements, permits, protocols, training, facilities, and controls applicable to your activities.
Research product acknowledgment
Research Products are intended solely for lawful laboratory, analytical, educational, or scientific research and are not intended for human or veterinary use. By obtaining a Research Product, you represent that you are obtaining it solely for its labeled lawful research purpose.
Research Products may not be administered to, applied to, or consumed by humans or animals; used for self-experimentation; used for diagnosis, treatment, prevention, supplementation, or personal therapeutic purposes; or purchased, transferred, or supplied to a person you know or reasonably suspect intends a prohibited use. A Research Use Only label, research confirmation, certificate of analysis, or other site content does not convert a prohibited use into a permitted one.
Product categories
Kiln may offer Research Products, ordinary consumer products, and products or services made available through independent licensed or regulated providers. Different labeling, eligibility rules, return restrictions, provider agreements, and legal requirements may apply to different categories. A Research Product's restrictions do not automatically apply to an ordinary consumer product, and consumer-product language does not change the labeled purpose of a Research Product. If product-specific or provider-specific terms conflict with these Terms, the more specific terms control for that product or service.
No medical or veterinary advice
Unless expressly provided by an identified licensed professional through a separate regulated service, Kiln content is for general informational, educational, commercial, and research purposes only. Product pages, literature summaries, laboratory reports, search tools, reviews, support communications, and other site content are not medical or veterinary advice and are not a substitute for professional care.
References to compounds, mechanisms, ingredients, studies, analytical methods, or scientific literature do not change a product's labeled intended use and do not constitute a recommendation for personal use, diagnosis, treatment, prevention, dosing, administration, or self-experimentation.
Research handling and responsibility
Research Products may require specialized knowledge, facilities, equipment, protective measures, storage conditions, chain-of-custody controls, and disposal procedures. You are responsible for determining and maintaining controls appropriate to your lawful research activities and for preventing access by children, animals, and unauthorized persons.
After lawful delivery, you are responsible for custody, storage, handling, transfer, experimentation, and disposal. Kiln is not responsible for deterioration, contamination, damage, loss, or altered analytical characteristics caused by improper storage, mishandling, unauthorized modification, transfer to another container, unsuitable conditions, or other acts outside Kiln's reasonable control, except to the extent applicable law provides otherwise.
Product records, COAs, and lot evidence
Certificates of analysis, analytical reports, laboratory results, chromatograms, lot identifiers, testing badges, and similar documentation apply only to the sample, lot, methods, conditions, tolerances, and attributes identified in the applicable record. A report reflects testing at a particular point in time and does not guarantee results after improper storage, contamination, modification, handling, or degradation.
Laboratory documentation is not a medical certification and does not represent that a Research Product is safe or suitable for administration to a human or animal. Where Kiln makes an express lot-specific or product-specific specification guarantee, that express guarantee controls over inconsistent general language in these Terms.
Orders and acceptance
Placing an order is an offer to purchase and does not guarantee acceptance. Automated confirmations acknowledge receipt but do not necessarily constitute final acceptance. Kiln may reject, limit, verify, hold, or cancel an order because of inventory error, qualification or account requirements, destination restrictions, payment review, suspected fraud, suspected prohibited use, inaccurate information, pricing error, product restrictions, or other legitimate compliance or operational concerns.
If Kiln cancels a paid order before shipment, the applicable captured amount will ordinarily be returned through the original payment method unless another remedy is required or permitted by law.
Pricing and payment
Prices, discounts, taxes, shipping charges, and available payment methods are displayed during checkout where applicable. You authorize Kiln and its payment providers to charge the payment method you provide for amounts associated with an accepted order and represent that you are authorized to use that payment method.
Obvious typographical, catalog, or system-generated pricing errors may be corrected to the extent permitted by law. Nothing in these Terms limits non-waivable rights you may have through a payment provider or under applicable law.
Shipping and delivery
Processing time and carrier transit time are separate. Delivery dates are estimates unless Kiln expressly identifies a date as guaranteed. A tracking number or printed shipping label does not by itself mean that a carrier has accepted a parcel. Carrier delays, weather, address errors, service disruptions, security screening, customs processes, and other circumstances outside Kiln's reasonable control may affect delivery.
You are responsible for providing a complete and accurate delivery address and for promptly inspecting delivered packages. Additional shipping terms appear in the Kiln Shipping Policy, which is incorporated into these Terms.
Returns, replacements, refunds, and order problems
The Kiln Resolution Policy is incorporated into these Terms and states the applicable return, replacement, refund, cancellation, and claim conditions. Research Products are generally not eligible for discretionary return or restocking after shipment because Kiln cannot verify chain of custody, storage conditions, contamination control, or product integrity after the product leaves controlled fulfillment.
This restriction does not eliminate remedies for an incorrect item, material shipping damage, a confirmed fulfillment error, a product materially inconsistent with an express Kiln specification, or any right or remedy that applicable law does not permit Kiln to exclude. Administrative reporting periods do not eliminate non-waivable legal rights.
Product availability
Inventory information can change rapidly. Adding an item to a cart does not reserve inventory unless expressly stated. Kiln may discontinue products, change packaging, update specifications, restrict quantities, or change future availability without notice, provided that existing obligations for accepted orders are handled as required by these Terms and applicable law.
Prohibited conduct
You may not use Kiln or products obtained through Kiln to violate law; engage in fraud or deception; facilitate prohibited human or veterinary use of a Research Product; misrepresent identity, age, research field, organization, intended purpose, qualifications, authority, or eligibility; circumvent account, research-access, purchase, destination, or security controls; resell or redistribute restricted products for prohibited purposes; interfere with site operation or security; introduce malicious code; scrape protected content without authorization; impersonate Kiln; or infringe another person's rights.
Third-party services
Kiln may rely on third parties for hosting, authentication, payments, commerce infrastructure, shipping, communications, databases, analytics, laboratory testing, fraud prevention, and regulated services. Those services may be governed by separate terms. Kiln is not responsible for independent third-party services or content except to the extent responsibility cannot lawfully be excluded or Kiln expressly assumes responsibility.
Reviews, endorsements, and third-party content
Reviews, comments, testimonials, social posts, community discussions, and other material originating from users or independent third parties represent the views of their respective authors. Unless Kiln expressly adopts a statement as its own, third-party content should not be interpreted as a representation or instruction made by Kiln. Nothing in this section permits Kiln to disclaim responsibility for advertising, endorsements, sponsored content, or review practices that applicable law treats as Kiln's own.
Intellectual property
The Kiln site, branding, logos, interface, original text, graphics, software, databases, arrangement, and other original material are owned by or licensed to Kiln and protected by applicable intellectual-property laws. Except as expressly permitted, you may not reproduce, distribute, modify, sell, license, reverse engineer, create derivative works from, or commercially exploit protected Kiln material without authorization.
Privacy and electronic communications
Kiln processes personal information as described in the Privacy Policy. You consent to receive transactional communications electronically, including one-time authentication codes, order confirmations, security notices, account messages, disclosures, and updates relating to these Terms. Marketing communications are handled in accordance with applicable law and available communication preferences.
Electronic acceptance and records
When you check a required acceptance box, submit a research confirmation, place an order, or otherwise electronically indicate agreement, you intend that action to constitute your electronic acceptance of the applicable terms and representations. To the extent permitted by law, electronic records and acceptance may be used to evidence your agreement in the same manner as other business records.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR EXPRESS WARRANTIES SPECIFICALLY MADE BY KILN. KILN DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.
Kiln does not warrant that the site will always be available, secure, or error-free; that every third-party statement will be complete or error-free; that a product is suitable for an unstated purpose or protocol; or that a product will produce a particular experimental outcome. This section does not disclaim any warranty or right that cannot lawfully be disclaimed.
Assumption of responsibility for research activities
To the maximum extent permitted by law, purchasers of Research Products accept responsibility for risks arising from their own lawful storage, handling, experimentation, transfer, transportation after delivery, disposal, and other laboratory activities. Kiln is not responsible for consequences resulting from a purchaser's prohibited, unlawful, unauthorized, negligent, reckless, or label-inconsistent use except to the extent applicable law imposes non-waivable responsibility on Kiln.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KILN AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KILN'S AGGREGATE LIABILITY ARISING FROM AN ORDER OR PRODUCT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU ACTUALLY PAID TO KILN FOR THE ORDER GIVING RISE TO THE CLAIM OR $100.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose, but they do not apply where applicable law prohibits limitation or exclusion, including where applicable for fraud, willful misconduct, gross negligence, personal injury liability that may not lawfully be limited, or other non-waivable conduct or remedies.
Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Kiln and its owners, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your material violation of these Terms, materially false research-access representations, unlawful use of the site, prohibited or unauthorized use or transfer of a Research Product, violation of applicable law, or infringement of another person's rights. This obligation does not apply to the extent a claim results from conduct for which applicable law does not permit Kiln to shift responsibility to you.
Force majeure
Kiln will not be liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disruptions, carrier failures, infrastructure outages, telecommunications failures, government actions, embargoes, supply-chain disruptions, or similar events, except where applicable law does not permit the obligation to be excused.
Binding individual arbitration
PLEASE READ THIS SECTION CAREFULLY. Except for disputes specifically excluded below, you and Kiln agree that disputes, claims, or controversies arising from or relating to these Terms, the site, an account, a research confirmation, an order, or a product will be resolved through individual binding arbitration rather than a lawsuit in court, to the fullest extent permitted by law.
Before initiating arbitration, the complaining party must send written notice describing the dispute, relevant account or order, supporting facts, and requested relief to support@shopkiln.com and allow at least 30 days for good-faith informal resolution. If unresolved, either party may initiate individual arbitration administered by the American Arbitration Association under its applicable rules. The Federal Arbitration Act governs interpretation and enforcement of this arbitration agreement.
Either party may bring an eligible individual claim in small claims court and may seek appropriate temporary or injunctive relief in court for intellectual-property misuse, unauthorized access to computer systems, or similar circumstances requiring immediate equitable relief. Nothing prevents either party from reporting matters to government agencies or regulators where permitted by law.
You may opt out of this arbitration agreement by emailing support@shopkiln.com within 30 days after first accepting these Terms. The notice must include your full name, the email associated with your account or order, and an unambiguous statement that you are opting out of the arbitration agreement. Opting out does not affect the remaining Terms.
Class and representative action waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND KILN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, an arbitrator may not consolidate the claims of multiple individuals or preside over a representative or class proceeding.
Jury trial waiver
To the extent a dispute is permitted to proceed in court rather than arbitration, you and Kiln knowingly and voluntarily waive the right to a trial by jury to the maximum extent permitted by law.
Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provisions. Mandatory protections of your home jurisdiction continue to apply where they cannot legally be waived. For disputes properly proceeding in court and not arbitration, the parties consent to the applicable state and federal courts located in New York County, New York, except where applicable law requires otherwise.
Time limit for claims
To the maximum extent permitted by law, any claim arising from the site, an account, an order, a product, or these Terms must be commenced within one year after the claim accrued, or within the shortest contractual limitation period permitted by applicable law if one year is not permitted. This section does not shorten a limitation period where applicable law prohibits contractual shortening.
Suspension and termination
Kiln may suspend or terminate access, revoke research-purchase eligibility, refuse future orders, or close an account where reasonably necessary because of violation of these Terms, materially false information, suspected fraud, security concerns, legal or regulatory risk, suspected prohibited product use, abuse of Kiln personnel or systems, or other material misuse. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limitations, indemnification, dispute resolution, and governing law, will survive.
Changes to these terms
Kiln may update these Terms as the site, catalog, account system, operating requirements, service providers, or applicable rules change. The updated Terms will identify their effective date. Where applicable law requires additional notice or renewed consent for a material change, Kiln will provide it. Continued use after an effective update constitutes acceptance only to the extent permitted by law.
Severability and waiver
If a provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect, except where applicable law requires a different result. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
Assignment
You may not assign or transfer your rights or obligations under these Terms without Kiln's prior written consent. Kiln may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or other transfer of the business, subject to applicable law.
Entire agreement
These Terms, together with the Privacy Policy, Shipping Policy, Resolution Policy, product-specific terms, and any other policy expressly incorporated by reference, form the agreement between you and Kiln concerning the matters they address and supersede prior inconsistent representations concerning those matters.
